Partner Programme

One Agreement. Two Ways to Grow Together.

For consultancies, MSPs and advisory firms that want to extend what they can offer. One Master Partnership Agreement, agreed once, covers subcontracting and referrals in both directions.

How It Works

One Master Partnership Agreement

We sign a single, non-exclusive Master Partnership Agreement with you once. After that, each subcontracted job is set out in a short Statement of Work, and each referral in a Referral Notice with its commercial terms. Nothing gets renegotiated, neither party has to offer or accept any work, and there are no minimum volumes.

Two-Way

Subcontracting

One party delivers services for the other, usually for its end client.

Each job is set out in a short Statement of Work. Either party can be the customer or the supplier, and each Statement of Work says which.

Two-Way

Referral

One party introduces a client opportunity; the other contracts with and delivers to the client directly.

The introducer earns commission. Either party can refer or receive. A referral counts once the receiving party approves it in writing, and the introducer makes the introduction without selling, pricing or delivering on the other’s behalf.

Programme Benefits

Simple to Join, Simple to Work With

The programme is built so that the paperwork never gets in the way of the work.

Non-Exclusive, No Minimums

Neither party has to offer or accept any work or referral, and there are no minimum volumes.

Sign Once, Transact Quickly

Agree the Master Partnership Agreement once. Each job then needs only a short Statement of Work or Referral Notice, with no renegotiation.

Reciprocal by Design

Built on good faith in both directions, with referrals expected to be broadly balanced over time.

Easy Exit

Either party can end subcontracted work on 30 days’ notice, unless the Statement of Work says otherwise.

The Commercials

Clear Terms, Whichever Way You Work

The same terms apply whichever side of the deal you are on. Anything specific to a job is agreed per deal or set per Statement of Work.

When a Partner Delivers

  • Monthly Invoicing

Invoiced monthly and paid within 30 days.

  • Formal Change Control

Changes go through change control, so there is no unpaid scope creep.

  • 14-Day Acceptance Window

Work not rejected within 14 days is accepted.

  • Clear IP Ownership

Each party keeps its pre-existing IP. The client gets a licence to use it with the deliverables, and new work belongs to the client.

  • Capped Liability

Liability is capped and set per Statement of Work.

  • Mutual 3-Year Protection

Neither party hires the other’s people who worked on the engagement, and the delivering party does not go around the other to its clients.

When a Partner Refers

  • Commission on Cash Received

Commission on net revenue (cash actually received from the client) from the first client contract, for 24 months from signature by default. Rates are agreed per deal.

  • Optional Exclusive Recognition

A registered deal can be given exclusive referral recognition for an agreed period, agreed per deal.

  • No Clawback Once Earned

Commission is not clawed back once earned, except in cases of fraud or serious breach.

  • Paid as the Client Pays

Paid within 30 days of the client paying, in proportion to what the client has paid.

  • Your Client Is Protected

While the deal is live, the receiving party sells only the agreed services to that client unless the referrer consents.

  • Stay Close to the Client

An optional first-line support role (paid only where a fee is agreed), and permission to describe yourself as the client’s “Referring Partner” for that deal.

Commission does not apply to Microsoft CSP revenue. It covers the first client contract only, unless more is agreed for that deal.

Microsoft Partner Recognition

Both parties can keep their Microsoft partner attribution (PAL, CPOR and CSP) on a non-exclusive basis. Joint attribution on subcontracted work can be agreed in writing.
